These Terms and Conditions ("Terms") govern your use of the services provided by Imagine Landscape, LLC ("Imagine Landscape," "Company," "we," "us," or "our"), including our website, estimates, proposals, maintenance agreements, construction contracts, snow and ice management services, and related communications.

By accessing our website, requesting services, accepting a proposal, signing a contract, or engaging our services, you agree to be bound by these Terms.

2. Services

We provide residential and commercial landscape services, which may include:

• Landscape design and consultation

• Landscape construction and installation

• Irrigation installation, maintenance, and repairs

• Lawn care and landscape maintenance

• Tree and shrub services

• Xeriscape conversions

• Snow and ice management

• Seasonal décor and event botanicals

• Other related outdoor services

Services are governed by the terms of the applicable proposal, estimate, work order, service agreement, or contract. If a conflict exists between these Terms and a signed agreement, the signed agreement controls.

3. Estimates and Proposals

All estimates and proposals are valid for thirty (30) days unless otherwise stated in writing.

Pricing is based on information available at the time of the estimate and may be subject to change due to:

• Changes in project scope

• Material price increases

• Site conditions that were not visible or reasonably discoverable

• Delays caused by the customer or third parties

• Permit or regulatory requirements

• Weather conditions or force majeure events

Any changes to the scope of work may require a written change order and may result in additional charges or schedule adjustments.

4. Scheduling and Access

Customers agree to provide reasonable access to the property during scheduled service times.

The customer is responsible for:

• Identifying property boundaries

• Marking or disclosing concealed utilities, irrigation systems, pet fencing, septic systems, and other underground improvements not identified through utility locating services

• Securing pets and ensuring a safe work environment

• Obtaining any required approvals from homeowners associations or property owners unless otherwise agreed in writing

Delays caused by restricted access, customer requests, third parties, or unforeseen conditions may result in additional charges.

5. Payment Terms

Payment terms are outlined in the applicable agreement, proposal, or invoice.

Unless otherwise agreed in writing:

• Invoices are due upon receipt.

• Deposits may be required before work begins.

• Progress payments may be required for larger projects.

• Final payment is due upon substantial completion.

Late payments may be subject to:

• Interest charges at the maximum rate permitted by applicable law

• Collection costs, including reasonable attorneys' fees and court costs

• Suspension of future services until the account is brought current

The Company reserves the right to file a mechanic's lien or pursue other legal remedies where permitted by law.

6. Cancellations and Termination

Either party may terminate recurring services according to the notice requirements contained in the applicable service agreement.

For project-based work:

• Deposits may be non-refundable once materials are ordered, equipment is scheduled, or labor is allocated.

• Customers are responsible for costs incurred prior to cancellation.

• The Company may terminate services for non-payment, unsafe conditions, lack of access, or breach of these Terms.

7. Weather and Seasonal Conditions

Landscaping, irrigation, and snow services are inherently affected by weather and seasonal conditions.

We are not responsible for delays, interruptions, or changes resulting from:

• Rain, snow, wind, extreme temperatures, or drought

• Government restrictions or utility outages

• Supplier shortages or delivery delays

• Other events beyond our reasonable control

Schedules and completion dates are estimates only unless expressly guaranteed in writing.

8. Living Plant Material

Plant performance depends on factors beyond our control, including weather, irrigation practices, soil conditions, pests, disease, and customer maintenance.

Unless otherwise stated in writing:

• Customers are responsible for proper watering and ongoing maintenance after installation.

• Plant warranties, if offered, are subject to compliance with watering and maintenance requirements.

• The Company is not responsible for losses caused by drought, neglect, vandalism, pet damage, severe weather, pests, disease, or acts of God.

9. Irrigation and Underground Conditions

Customers acknowledge that underground conditions may not be fully visible before excavation.

The Company is not responsible for damage to:

• Private utilities not properly identified or marked

• Unmarked irrigation lines

• Invisible dog fences

• Septic systems

• Unknown underground structures or improvements

Additional work required due to unforeseen underground conditions will be billed separately.

10. Snow and Ice Management

Snow and ice management services are performed to reduce risk, not eliminate it.

Customers acknowledge that:

• Slippery conditions may remain before, during, and after service.

• Weather conditions may change rapidly.

• Snow and ice accumulation cannot be completely prevented.

The Company does not guarantee completely snow-free or ice-free conditions and shall not be liable for injuries, damages, or losses arising from naturally occurring winter conditions except to the extent required by law.

11. Website Use

Users agree not to:

• Use the website for unlawful purposes

• Attempt to gain unauthorized access to our systems

• Interfere with website functionality

• Upload malicious software or harmful code

We may suspend or terminate access to our website at any time.

12. Intellectual Property

All website content, including text, graphics, photographs, logos, designs, proposals, and marketing materials, is owned by or licensed to Imagine Landscape and may not be copied, reproduced, or distributed without prior written consent.

13. Limitation of Liability

To the maximum extent permitted by law, Imagine Landscape shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, business interruption, or loss of use.

Our total liability arising out of or relating to any claim shall not exceed the amount paid by the customer for the specific services giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded under applicable law.

14. Indemnification

Customers agree to indemnify, defend, and hold harmless Imagine Landscape, its owners, employees, contractors, and agents from claims, damages, liabilities, costs, and expenses arising from:

• Customer negligence or misconduct

• Inaccurate information provided by the customer

• Failure to obtain required approvals or permissions

• Unsafe conditions on the property

15. Dispute Resolution

The parties agree to make good-faith efforts to resolve disputes informally before initiating legal action.

Any legal action arising from these Terms or related services shall be brought in a court of competent jurisdiction located in the State of Utah.

These Terms shall be governed by the laws of the State of Utah, without regard to conflict of law principles.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with any signed proposal, estimate, work order, service agreement, or contract, constitute the entire agreement between the parties regarding the services provided.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated versions will be posted on our website with a revised effective date.

Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
